Terms of Service

1. Acceptance of Terms & Business Relationship

These Terms of Service ("Terms") constitute a binding agreement between you ("User", "Customer", or "Workspace Owner") and MetaOrbit Technologies ("Company", "we", "us", or "our"), regarding your access to and use of the MetaOrbit AI software platform, public website (https://metaorbitai.com), APIs, and associated applications (collectively, the "Service").

By registering an account, creating a workspace, or using any feature of MetaOrbit AI, you confirm that you have read, understood, and agreed to these Terms. If you are entering into these Terms on behalf of an entity or organization, you represent that you have legal authority to bind that entity.

2. Platform Description

MetaOrbit AI is an AI Business Operating System engineered by MetaOrbit Technologies. The Service unifies customer communications (including WhatsApp Business, Instagram Direct, and Web Chat widgets), B2B CRM deal pipelines, campaign broadcasting, and Orbit AI copilot assistance into a centralized workspace.

Certain third-party integrations (such as Meta Cloud APIs, email gateways, or foundation AI model providers) are subject to external API availability, terms, and policies of their respective operators.

3. Accounts, Security & Free Trial

7-Day Free Trial: All new registered workspaces receive a 7-day free trial with allocated starter credits, contacts, and features. No credit card is required to initiate the trial. At the end of the trial period, workspaces transition to read-only status unless a paid subscription plan is activated.

You are responsible for maintaining the security of your authentication credentials, multi-factor keys, and API tokens. You must immediately notify MetaOrbit Technologies at business@metaorbitai.com if you detect unauthorized access to your account.

4. Subscriptions, Invoicing & Merchant of Record

Paid subscriptions for MetaOrbit AI are offered across transparent tiers (such as Starter, Growth, Pro, and Scale).

Merchant of Record: All commercial orders, transaction processing, recurring subscription billing, currency conversions, and applicable sales tax/VAT compliance are handled by our authorized Merchant of Record, Paddle (Paddle.com Market Ltd or its affiliates). When purchasing a subscription, your invoice and transaction agreement are concluded with Paddle under Paddle's Checkout Terms.

Subscriptions automatically renew at the end of each billing cycle (monthly or annual) unless cancelled prior to the renewal date via your workspace billing settings.

5. Acceptable Use & Messaging Compliance

You agree to use MetaOrbit AI strictly in compliance with all applicable local, national, and international laws and third-party platform regulations. You agree not to:

• Send unsolicited spam, deceptive marketing, or violate WhatsApp, Instagram, or Meta Business messaging policies.
• Generate, distribute, or automate content that is defamatory, unlawful, harassing, fraudulent, or infringing upon intellectual property rights.
• Attempt to reverse-engineer, decompile, or breach the tenant isolation boundaries or security controls of MetaOrbit AI.
• Introduce malware, automated scrapers, or excessive loads intended to disrupt service stability.

6. Customer Data & AI Processing Commitments

You retain all rights, title, and ownership in the proprietary data, customer lists, and communication content uploaded or transmitted through your workspace ("Customer Data").

MetaOrbit Technologies processes Customer Data solely to provide and secure the Service. We do not use your proprietary Customer Data, customer conversations, or internal documents to train public foundation models.

7. Account Cancellation & Deletion

You may cancel your subscription at any time via your workspace billing dashboard. You may also request complete termination of your workspace and deletion of stored customer records by emailing business@metaorbitai.com. Data will be purged in accordance with our data retention practices and legal obligations.

8. Disclaimer of Warranties & Limitation of Liability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. MetaOrbit Technologies makes no warranties, express or implied, regarding uninterrupted uptime, bug-free operation, or specific commercial outcomes resulting from automated messaging or AI-assisted interactions.

To the maximum extent permitted by applicable law, in no event shall MetaOrbit Technologies or its directors, employees, or partners be liable for indirect, incidental, punitive, or consequential damages, or loss of profits or business revenue.
